We are seeking a seasoned Chief Financial Officer (CFO) to lead our financial strategy, ensure compliance with public company regulations, and drive sustainable growth.
Job Summary The CFO will be a strategic leader responsible for overseeing all financial operations, ensuring robust financial controls, and guiding the company through its next phase of growth.
The role requires collaboration with the current CFO to prepare and finalize the 2025 10-K filing and assume responsibility for signing off on all future SEC public accounting filings.
The CFO will also play a pivotal role in merger and acquisition (M&A) activities, driving strategic financial decisions.
Responsibilities : Financial Strategy and Leadership : Develop and execute financial strategies aligned with the company's growth objectives as a NASDAQ micro-cap.
Provide strategic guidance to the CEO and Board on financial planning, capital allocation, and M&A opportunities.
SEC Compliance and Public Filings : Collaborate with the current CFO to prepare and complete the 2025 10-K filing.
Oversee and sign off on all public accounting filings with the SEC, ensuring compliance with NASDAQ regulations.
Ensure adherence to PCAOB audit standards and Sarbanes-Oxley Act (SOX) requirements.
Financial Operations and Controls : Implement basic bookkeeping standards to establish a strong financial foundation.
Oversee budgeting, forecasting, cash flow management, and financial reporting.
Hire and onboard a bookkeeper or controller to manage day-to-day bookkeeping functions.
Merger and Acquisition Support : Lead financial due diligence for potential M&A transactions, including target valuation and risk assessment.
Structure and negotiate deal terms, financing arrangements, and post-merger integration plans.
Develop financial models to evaluate M&A opportunities, ensuring alignment with strategic and financial goals.
Coordinate with legal, tax, and advisory teams to ensure seamless execution of M&A transactions.
Manage derivative liabilities, including valuation and accounting treatments.
Conduct Monte Carlo simulations for financial modeling and risk assessment.
Oversee intellectual property (IP) valuations for strategic and reporting purposes.
Stakeholder Engagement : Communicate financial performance, M&A strategies, and overall strategy to investors, analysts, and the Board.
Build relationships with external auditors, legal counsel, financial institutions, and M&A advisors.
Qualifications : Bachelor's degree in Finance, Accounting, Business Administration, or related field; MBA or CPA strongly preferred.
Prior experience as a CFO for a company listed on the NASDAQ or NYSE is required.
10+ years of progressive financial leadership experience Demonstrated expertise in PCAOB audits, Sarbanes-Oxley Act compliance, derivative liabilities, Monte Carlo simulations, IP valuations, and M&A activity.
Deep knowledge of SEC reporting requirements and public company financial operations.
Proficiency in financial modeling, risk management, and strategic planning, including M&A valuation and integration.
Exceptional analytical, problem-solving, and decision-making skills.
Strong communication and presentation skills for engaging with diverse stakeholders.
